Title 1: Name, Headquarters, Purpose and Duration[editar]

Article 1[editar]

With the name Associação Pietro Roveri pela Colaboração e Conhecimento Livres (APR-CCL), is constituted a private organization, as non-profit civil association, without political or religious purposes, regulated by these bye-law and further legal provisions.

1.1 The association will use the denomination Wikimedia Brasil, and this is how the association will be publicly referred.

1.2 The association will perform its activies in all the country.

Article 2[editar]

The association's office is to be situated in Avenida Paulista, 123, Bela Vista, São Paulo/SP, CEP 01.234-567.

Article 3[editar]

The association has as its purpose:

I - To articulate, encourage, implement, promote, foster, develop and disseminate activities that aims the collaborative production and inclusive dissemination of free knowledge, defined as any work with educational or informative nature, which is available for use and for benefit from this use; for study and use the acquired knowledge derived from this work; for make and share complete or partial copies; and for modify, improve and share the derivative work.
II– to promote the culture and to support the preservation of historic and artistic heritage;
III – to promote volunteering;
IV – to support study and research, development of alternative technologies, producing and publishing of information and technical/scientific knowledge related to those activities mentioned in this article.

Article 4[editar]

All appropriate and permitted means must be used for achieving the purposes of the Association, which can even develop other secondary activities in developing institutional aims by: direct execution of projects, programmes or action plans, signing of agreements, contracts or other legal documents; donation of physical, human and financial resources, or intermediary services to other nonprofit organizations and public sector agencies in related sectors.

Article 5[editar]

In order to reach its goals, the association may establish as many subsidiary unities as necessary, and these unities shall follow all the bye-law and regiment dispositions.

Article 6[editar]

The association is constituted for an unlimited amount of time.

Capítulo I: Da Denominação, Sede, Fins e Duração.[editar]

Artigo 1º[editar]

Constitui-se, sob a denominação de Associação Pietro Roveri pela Colaboração e Conhecimento Livres (APR-CCL), pessoa jurídica de direito privado, sob forma de associação civil sem fins lucrativos e com fins não econômicos, sem finalidade política ou religiosa, regida pelo presente Estatuto e pelas demais disposições legais.

Parágrafo 1º A associação adotará a denominação comum Wikimedia Brasil, sendo este o nome utilizado publicamente.

Parágrafo 2º A associação terá atuação em todo o Brasil.

Artigo 2º[editar]

A associação terá sede na Avenida Paulista, 123, Bela Vista, cidade de São Paulo/SP, CEP 01.234-567.

Artigo 3º[editar]

A associação terá como finalidades:

I - Articular, incentivar, implantar, promover, fomentar, desenvolver e difundir atividades que visam a produção colaborativa e a disseminação inclusiva de conhecimento livre, assim entendido como qualquer trabalho com finalidade informativa ou educativa que proporcione as liberdades para usar e usufruir dos benefícios deste uso; para estudar e utilizar o conhecimento adquirido deste trabalho; para fazer e redistribuir cópias, completas ou parciais, de informações ou expressões; e para alterar, fazer melhorias e distribuir o trabalho derivado.
II – promoção da cultura, defesa e conservação do patrimônio histórico e artístico;
III – promoção do voluntariado;
IV – estudos e pesquisas, desenvolvimento de tecnologias alternativas, produção e divulgação de informações e conhecimentos técnicos e científicos que digam respeito às atividades mencionadas neste artigo.

Artigo 4º[editar]

Poderão ser utilizados todos os meios adequados e permitidos na lei para consecução das finalidades, podendo-se, inclusive, desenvolver outras atividades acessórias voltadas ao desenvolvimento dos objetivos institucionais por meio de: execução direta de projetos, programas ou planos de ações; celebração de convênios, contratos ou outros instrumentos jurídicos; doação de recursos físicos, humanos e financeiros, ou prestação de serviços intermediários de apoio a outras organizações sem fins lucrativos e a órgãos do setor público que atuam em áreas afins.

Artigo 5º[editar]

A fim de cumprir suas finalidades, a associação se organizará em tantas unidades de prestação de serviços quantas se fizerem necessárias, as quais se regerão pelas disposições estatutárias e regimentais.

Artigo 6º[editar]

A associação terá prazo de duração indeterminado.

Title 2: Members[editar]

Article 7[editar]

The association consists of unlimited number of members, distributed in the categories of founders, effective, contributor and honorary.

7.1 Founding members are individuals without legal impediment, who signed the incorporation acts of the association and adopt the Statement of Principles of the association.

7.2 Effective members are individuals without legal impediment, admitted by the General Assembly after a minimum period of three months participating as contributor member and who adopt the Statement of Principles of the association.

7.3 Contributors are individuals who adopt the Statement of Principles of the association.

7.4 Honorary members are individuals recognized by the General Assembly for their significant contributions to the objectives of the association, after a proposal presented by any member entitled to vote.

Article 8[editar]

Every member has the right to:

I – participate in the activities of the association; and
II – participate in general assemblies and debates with equal right to speak.

8.1 The exclusive rights of the founding and effective members, along with their social obligations:

I – participate effectively in decisions of the association by voting in assemblies and discussions
II – participate in the composition of the Board of Directors and Audit Committee.

Article 9[editar]

The duties of all members:

I – respect and comply with the decisions of the General Assembly and the Board of Directors;
II – comply and enforce the bye-law, the internal regulation, the Statement of Principles and other internal provisions, and
III – safeguard the image of the association.

9.1 It is a duty exclusively of the founding and effective members, besides those already mentioned in this article, to participate in the General Assembly.

Article 10[editar]

Members shall not respond, even secondarily, for the obligations contracted by the association.

Article 11[editar]

Members lose their rights in the following cases:

I – if they not fulfil their duties;
II – if they infringe any statutory or regulatory provision or any decision from the Board of Directors;
III – if they take part in acts which are harmful to the interests of the association;
IV – if they take part in any act that implicitly disprove or discredit of the association or its members, or
V – if they act or use the name of the association in take personal or wealthy advantage, for themselves or others.

11.1 In any hypotheses referred above, besides losing their rights, the members may be excluded of the association by decision of the General Assembly if recognized a just cause for that, the right of present a defense relying on legally acceptable evidence is assured.

11.2 The proposal of excluding a member shall be signed by one-fifth of the members eligible to vote, and forwarded to the General Assembly, which shall decide by simple majority vote on whether or not the associated exclusion at a special meeting called for this purpose.

Article 12[editar]

Any member may, on its own, resign the membership of the entity, without the need to give any specific reason or justification at any time, simply by addressing an explicit statement dated and signed to the entity, or by electronic means defined by the association.

12.1 The dismissal does not exempt former members from legal consequences of their acts executed during their participation on the association.

Capítulo II: Dos Associados[editar]

Artigo 7º[editar]

A associação é constituída por número ilimitado de associados, distribuídos nas categorias de fundadores, efetivos, colaboradores e beneméritos.

Parágrafo 1º São associados fundadores as pessoas físicas, sem impedimento legal, que assinaram os atos constitutivos da entidade e que adotam a Carta de Princípios da associação

Parágrafo 2º São associados efetivos as pessoas físicas, sem impedimento legal, admitidas pela Assembleia Geral após um período mínimo de três meses de participação na associação na categoria de associado colaborador e que adotam a Carta de Princípios da associação

Parágrafo 3º São associados colaboradores as pessoas físicas que adotam a Carta de Princípios da associação.

Parágrafo 4º São associados beneméritos as pessoas físicas reconhecidas pela Assembleia Geral por suas contribuições significativas aos objetivos da associação, após proposta apresentada por qualquer associado com direito a voto.

Artigo 8º[editar]

São direitos de todos os associados:

I – participar das atividades da associação; e
II – tomar parte nas assembleias e debates gerais com igual direito de voz.

Parágrafo Único São vantagens exclusivas dos associados fundadores e efetivos, quites com suas obrigações sociais:

I – participar efetivamente das decisões da associação, por meio do voto em assembleias e discussões gerais;
II – participar da composição dos Conselhos da associação.

Artigo 9º[editar]

São deveres de todos os associados:

I – respeitar e cumprir as decisões da Assembleia e do Conselho Diretor;
II – cumprir e fazer cumprir o estatuto, o regulamento interno, a Carta de Princípios e as demais disposições internas; e
III – zelar pelo nome da associação.

Parágrafo Único É dever exclusivo dos associados fundadores e efetivos, além dos já mencionados neste artigo, participar das assembleias gerais.

Artigo 10[editar]

Os associados não respondem, nem mesmo subsidiariamente, pelas obrigações constituídas pela associação.

Artigo 11[editar]

Os associados perdem seus direitos:

I – se deixarem de cumprir seus deveres;
II – se infringirem qualquer disposição estatutária, regimental ou qualquer decisão do Conselho Diretor;
III – se praticarem atos nocivos ao interesse da associação;
IV – se praticarem qualquer ato que implique em desabono ou descrédito da associação ou de seus membros; ou
V – se praticarem atos ou valerem-se do nome da associação parar tirar proveito patrimonial ou pessoal, para si ou para terceiros.

Parágrafo 1º Em qualquer das hipóteses previstas acima, além de perderem seus direitos, os associados poderão ser excluídos da associação por decisão da Assembleia Geral, caso seja reconhecida justa causa para tanto, assegurado o direito de se defender, valendo-se de todos os meios de prova admitidos em lei.

Parágrafo 2º A proposta que pretenda excluir um associado deve ser subscrita por um quinto dos associados com direito a voto, e encaminhada à Assembleia Geral, que decidirá, por maioria simples de votos, sobre exclusão ou não do associado, em Assembleia especialmente convocada para este fim.

Artigo 12[editar]

Qualquer associado poderá, por iniciativa própria, desligar-se do quadro social da entidade, sem a necessidade de declinar qualquer justificativa ou motivação específica, a qualquer tempo, bastando para isso, manifestação expressa de carta datada e assinada endereçada à entidade, ou por meio eletrônico definido pela associação.

Parágrafo Único A demissão não exime o associado das consequências legais dos atos praticados dentro da associação.

Title 3: Boards[editar]

Article 13[editar]

Bodies of the association are:

I – the General Assembly
II – the Board of Directors
III – the Fiscal Council

13.1 The Directors shall not receive any remuneration for their roles in the association, although they can get refunded for expenses incurred during official Association activities.

13.2 The association must pay those who provide specific services to it, respecting the market rates in the region corresponding to its area of ​​operation.

13.3 The association will adopt management practices, necessary and sufficient to prevent benefits or personal advantages from being given, individually or collectively, as a result of participation in its management.

13.4 It is not allowed for any member to take part in the Board of Directors and the Fiscal Council, simultaneously.

Section I: General Assembly[editar]

Article 14[editar]

The General Assembly is the highest and sovereign governing body and will be composed ​​by members in good standing of their statutory rights.

Article 15[editar]

The objectives of the general assembly are:

I - electing the members of the Board of Directors and the Fiscal Council;
II - dismissing members of the Board of Directors or the Fiscal Council;
III - approving the admission and exclusion of members of the Entity;
IV - changing the Bye-law, and
V - considering the report of the Board and decide on the approval of the accounts and annual report.

15.1 To the obligations provided for in sections II, IV and V, a meeting of General Assembly especially convened for this purpose, in the terms of the internal regulation, is required and it cannot deliberate, if in first call, without the majority of its members, or with less than one third of members in subsequent calls.

15.2 In the approval of the accounts provided for in section V:

I - the fundamental principles of accounting and of Brazilian Accounting Regulations must be observed;
II - at the close of the fiscal year, the activity report and financial statements of the entity, including the certificates of negative rates with the INSS and FGTS shall be made public by any effective means;
III - conducting auditing, including by independent external auditors if applicable, the application of any Partnership Term object resources;
IV - the accountability of all public resources and goods received by the source will be made as OSCIP determines the sole paragraph of article 70 of the Federal Constitution.

Article 16[editar]

The General Assembly shall meet, ordinarily, in the first quarter of each year to:

I - approve the accounts of the Board of Directors;
II – elect the members of the Board of Directors and Fiscal Council, when appropriate;
III – approve the activity report and to prepare the planning for the following year;
IV - admit new associates.

Article 17[editar]

The General Assembly shall meet, extraordinarily, by convene of Director President in the terms of the internal regulation, when interests of association which require the pronouncement of the associates and for the purposes provided for by law, as well as in the following cases:

I - reform of the Bye-law;
II - election of Board of Directors members or of the Fiscal Council, by waiving, demission or destitution of those-in-Office;
III - dismissal of administrators or directors;
IV - associated deletion.

17.1 The General Assembly shall meet, extraordinarily, at request of two fifths of the members, by convene of Director President that cannot refuse to do that.

17.2 Any proposal to be deliberated at an extraordinary meeting of General Assembly shall be presented to the other members with at least thirty days in advance, and the Director President shall publicize the agenda for the meeting when it is convened, in the terms of the internal regulation.

Article 18[editar]

The Assembly will occur in the first call with an absolute majority of the founding or effective members and in a second call, thirty minutes later, with any number, and decisions will be taken by simple majority of founding or effective members present, unless otherwise provided by these Bye-law.

Section 2: Board of Directors[editar]

Article 19[editar]

The Board of Directors will be composed by a Chairman and two Manager Directors, founding or effective members, appointed by the General Assembly for a term of two years, and they may be re-elected once for a same period term, with no limit for non-consecutive re-elections.

Article 20[editar]

The Board of Directors shall:

I - draft annual programme of activities and run it;
II - elaborate and submitting the annual report to the General Assembly;
III - act along with public and private institutions, for mutual collaboration in activities of common interests;
IV - practice acts of administrative management;
V - other functions entrusted to them by the internal regulation, approved by the General Assembly.

20.1 The first Board of Directors elected when the assembly of the constitution, draw up a proposal for the rules of procedure of the Association and submit it to vote in the General Assembly no later than one year after his election.

Article 21[editar]

The Director President shall:

I - comply with and enforce these bye-law and the internal regulation;
II - convene and preside the General Assembly;
III - convene and preside the meetings of the Board of Directors and
IV - direct and supervise all activities of the Association, and for both, hire any workers services and without employment, where appropriate.

Article 22[editar]

The Administrative Directors, individually or altogether, shall:

I - assist the Director President on the administrative and accounting management of the activities of the Association;
II - collect and account for aid and donations in cash or in kind, keeping the bookkeeping, all proven;
III - pay the accounts of the expenditure authorized by the President;
IV - keep under his custody and responsibility, cash and documents relating to the Treasury, including bank accounts;
V - write the notes of the General Assemblies held, duly signed by the President of the Assembly and by the members present, and register them in the registry.

Article 23[editar]

The Director President, together with the Administrative Directors, shall represent the association, actively and passively, judicially and extrajudicially, including handling bank accounts and being expressly prohibited the use of the name of the Association for any purpose extraneous to their purposes, such as guarantees, sureties or any other acts of favour.

Article 24[editar]

The members of the Board of Directors shall be elected based on the following criteria:

I - Founding or effective member;
II - Good standing of statutory rights, as well as with statutory obligations;
III - Election decided by simple majority approval of the members present at the General Meeting under Article 17, section II.

Section 3: Audit Committee[editar]

Article 25[editar]

The Audit Committee shall be composed by two auditors and one substitute, founders or effective members, elected by the General Assembly for a term coincident with the Directors' term.

Article 26[editar]

Audit Committee have the duties and powers that are conferred by law, being competent, among other things, to:

I - give its opinion on the financial and accounting reports on the operations, by issuing feedbacks to boards of the entity, and the Board of Directors shall provide all information requested;
II - suggest the hiring and oversee the work of independent external auditors, and
III - call an extraordinary General Assembly.

Article 27[editar]

The Audit Committee members must not be paid any remuneration for their roles in the association, although they can get refunded for expenses incurred buring the official Association activities.

Capítulo III: Da Administração.[editar]

Artigo 13[editar]

A associação será administrada pelos seguintes órgãos:

I – Assembleia Geral;
II – Conselho Diretor; e
III – Conselho Fiscal

Parágrafo 1º Os membros do Conselho Diretor desempenharão as suas funções e atribuições sem remuneração, podendo, no entanto, receber reembolso de despesas realizadas comprovadamente no exercício de suas atribuições.

Parágrafo 2º A associação poderá remunerar aqueles que a ela prestam serviços específicos, respeitados os valores praticados pelo mercado, na região correspondente a sua área de atuação.

Parágrafo 3º A associação adotará práticas de gestão administrativa, necessárias e suficientes a coibir a obtenção, de forma individual ou coletiva, de benefícios ou vantagens pessoais em decorrência da participação em sua gestão.

Parágrafo 4º É vedada a participação de um mesmo associado no Conselho Diretor e no Conselho Fiscal, simultaneamente.

Seção I: Da Assembleia Geral[editar]

Artigo 14[editar]

A Assembleia Geral é órgão máximo e soberano da vontade social e será constituída pelos associados em pleno gozo de seus direitos estatutários.

Artigo 15[editar]

Compete à Assembleia Geral:

I - eleger os membros do Conselho Diretor e do Conselho Fiscal;
II - destituir os membros do Conselho Diretor ou do Conselho Fiscal;
III - aprovar a admissão e exclusão dos associados da Entidade;
IV - alterar o estatuto; e
V - apreciar o relatório do Conselho Diretor e decidir sobre a aprovação das contas e balanço anual.

Parágrafo 1º Para as atribuições previstas nos incisos II, IV e V, é exigida a deliberação da Assembleia Geral especialmente convocada para este fim, nna forma prevista pelo regimento interno, não podendo ela deliberar, em primeira convocação, sem a maioria de seus associados fundadores ou efetivos, ou, nas convocações seguintes, com menos de um terço dos associados fundadores ou efetivos.

Parágrafo 2º A aprovação das contas previstas no inciso V, deverá atentar para:

I - a observância dos princípios fundamentais de contabilidade e das Normas Brasileiras de Contabilidade;
II - que se dê publicidade por qualquer meio eficaz, no encerramento do exercício fiscal, ao relatório de atividades e das demonstrações financeiras da entidade, incluindo-se as certidões negativas de débitos junto ao INSS e ao FGTS;
III - realização de auditoria, inclusive por auditores externos independentes se for o caso, da aplicação dos eventuais recursos objeto do Termo de Parceria;
IV - a prestação de contas de todos os recursos e bens de origem pública recebidos pela OSCIP será feita conforme determina o parágrafo único do artigo 70 da Constituição Federal.

Artigo 16[editar]

A Assembleia Geral reunir-se-á, ordinariamente, no primeiro trimestre de cada ano para:

I - aprovar as contas do Conselho Diretor;
II - eleger os membros do Conselho Diretor e do Conselho Fiscal, quando for o caso;
III - aprovar o relatório de atividades e elaborar o planejamento para o exercício seguinte;
IV - admitir novos associados.

Artigo 17[editar]

A Assembleia Geral reunir-se-á, extraordinariamente, quando houver interesses da associação que exigirem o pronunciamento dos associados e para os fins previstos por lei, bem como nos seguintes casos:

I - reforma do estatuto;
II - eleição de membros da Diretoria ou do Conselho Fiscal, por renúncia daqueles em exercício;
III - destituição de administradores ou conselheiros;
IV - exclusão de associados.

Parágrafo 1º A Assembleia Geral poderá reunir-se extraordinariamente por solicitação de dois quintos dos associados, cabendo a convocação ao Diretor Presidente, que não poderá recusar-se a fazê-la.

Parágrafo 2º Qualquer proposta a ser deliberada em reunião extraordinária da Assembleia Geral deve ser apresentada aos demais associados com antecedência mínima de trinta dias, cabendo ao Diretor Presidente tornar pública a pauta da reunião no momento de sua convocação, na forma prevista pelo regimento interno.

Artigo 18[editar]

A Assembleia instalar-se-á em primeira convocação com maioria absoluta dos associados e em segunda convocação, decorridos trinta minutos, com qualquer número, e as deliberações serão tomadas por maioria simples dos associados presentes, salvo exceções previstas por este Estatuto.

Seção II: Do Conselho Diretor[editar]

Artigo 19[editar]

O Conselho Diretor será constituído por um Diretor Presidente e dois Diretores Administrativos, associados fundadores ou efetivos, devidamente eleitos pela Assembleia Geral para um mandato de dois anos, podendo haver uma reeleição sucessiva por igual período e não havendo limite para reeleições não sucessivas.

Artigo 20[editar]

Compete ao Conselho Diretor:

I - elaborar programa anual de atividades e executá-lo;
II - elaborar e apresentar o relatório anual à Assembleia Geral;
III - entrosar-se com instituições públicas e privadas, para mútua colaboração em atividades de interesses comum;
IV - praticar atos da gestão administrativa;
V - outras funções que lhes forem atribuídas pelo regimento interno, aprovadas pela Assembleia Geral.

Parágrafo Único Ao primeiro Conselho Diretor eleito quando da assembleia de constituição, cabe elaborar proposta para o regimento interno da associação e apresentá-la para votação em Assembleia Geral no prazo máximo de um ano após sua eleição.

Artigo 21[editar]

Compete ao Diretor Presidente:

I - cumprir e fazer cumprir este estatuto e o regimento interno;
II - convocar e presidir a Assembleia Geral;
III - convocar e presidir as reuniões do Conselho Diretor e
IV - dirigir e supervisionar todas as atividades da associação, podendo, para tanto, contratar a locação de serviços de trabalhadores eventuais e sem vínculo empregatício, quando for o caso.

Artigo 22[editar]

Compete aos Diretores Administrativos, em conjunto ou individualmente:

I - auxiliar o Diretor Presidente no gerenciamento das atividades administrativas e contábeis da associação;
II - arrecadar e contabilizar auxílios e donativos em dinheiro ou em espécie, mantendo em dia a escrituração, toda comprovada;
III - pagar as contas das despesas autorizadas pelo Presidente;
IV - conservar sob sua guarda e responsabilidade, o numerário e documentos relativos à tesouraria, inclusive contas bancárias;
V - lavrar atas das Assembleias Gerais realizadas, devidamente assinadas pelo Presidente da Assembleia e pelos associados presentes, e registrá-las no cartório competente.
VI – substituir o Diretor Presidente, em caso de ausência.

Artigo 23[editar]

Caberá ao Diretor Presidente em conjunto com os Diretores Administrativos, representar a associação ativa e passiva, judicial e extrajudicialmente, inclusive para movimentação de conta bancária ficando expressamente vedado o uso do nome da associação para qualquer fim estranho às suas finalidades, como fianças, avais ou quaisquer outros atos de favor.

Artigo 24[editar]

Os membros do Conselho Diretor serão eleitos com base nos seguintes critérios:

I - Associado fundador ou efetivo;
II - Pleno gozo dos direitos estatutários, bem como quitação com as obrigações estatutárias;
III - Eleição decidida pela anuência da maioria simples dos associados presentes em Assembleia Geral, nos termos do artigo 17, inciso II.

Seção III: Do Conselho Fiscal[editar]

Artigo 25[editar]

O Conselho Fiscal compor-se-á de dois membros titulares e um suplente, associados fundadores ou efetivos, eleitos pela Assembleia Geral da associação, sendo seu mandato coincidente com o mandato do Conselho Diretor.

Artigo 26[editar]

O Conselho Fiscal tem as atribuições e os poderes que são conferidos por lei, sendo competente, dentre outras atribuições, para:

I - opinar sobre os relatórios de desempenho financeiro e contábil e sobre as operações patrimoniais realizadas, emitindo pareceres para os organismos superiores da entidade, devendo o Conselho Diretor prestar todas as informações solicitadas;
II - sugerir a contratação e acompanhar o trabalho de eventuais auditores externos independentes; e
III - convocar extraordinariamente a Assembleia Geral.

Artigo 27[editar]

Os membros do Conselho Fiscal desempenharão as suas funções e atribuições sem remuneração, podendo, no entanto, receber reembolso de despesas realizadas comprovadamente no exercício de suas atribuições.

Title 4: Assets and Extinction[editar]

Article 28[editar]

The capital of the association shall consist of initial donations by members and the movable and immovable assets and rights that may be donated by individuals, private and statutory corporations; services, investments incomes and other sources; agreements, funding and loans, since not incompatible with the free development of the association's activities.

Article 29[editar]

The association does not distribute among its members, auditors, directors, employees or donors, any operating surplus, gross or net, dividends, bonuses, shares or a portion of its assets, earned through the exercise of its activities and shall apply them all in pursuing its aims.

Article 30[editar]

All assets and funds of the association shall be allocated to the aims pursued by the entity, except for the goods and expenses that are necessary for its operation.

Article 31[editar]

The transfer, mortgage, pledge, sale or exchange of association's assets can only be decided by majority approval in an extraordinary General Assembly, called specifically for that purpose, in the terms of the internal regulation.

Article 32[editar]

The Association may be dissolved by resolution of the associates at any time, provided that a special General Assembly be convened for this purpose, in the terms of the internal regulation, which must observe the rules laid down in paragraph 1 of article 15 of this Bye-Law.

32.1 The Association may also be extinct by other ways provided for in law.

Article 33[editar]

In the case of the dissolution of the association, any remaining capital shall be transferred to another non-profit organization qualified as Civil Society Organization of Public Interest. preferably with equal or similar aims.

Article 34[editar]

In the case of acquisition and subsequent loss of the qualification Civil Society Organization of Public Interest, the available assets, acquired with public funds while qualified, will be transferred to another legal entity qualified under the same conditions.

Capítulo IV: Do Patrimônio e da Dissolução[editar]

Artigo 28[editar]

O patrimônio da associação será constituído por eventual doação inicial dos associados e pelos bens móveis e imóveis e direitos que venham a ser acrescentados por meio de doações de pessoas físicas, de pessoas jurídicas de direito privado e de pessoas jurídicas de direito público; prestações de serviços; aplicação de receitas e outras fontes; convênios, apoios e financiamentos, desde que não incompatíveis com o livre desenvolvimento das atividades da associação.

Artigo 29[editar]

A associação não distribuirá, entre seus associados, conselheiros, diretores, empregados ou doadores, eventuais excedentes operacionais, brutos ou líquidos, dividendos, bonificações, participações ou parcelas do seu patrimônio, auferidos mediante o exercício de suas atividades e os aplicará integralmente na consecução do seu objetivo social.

Artigo 30[editar]

Todo patrimônio e receitas da associação deverão ser destinados aos objetivos a que se propõe a entidade, ressalvados os gastos despendidos e bens necessários a seu funcionamento.

Artigo 31[editar]

A alienação, hipoteca, penhor, venda ou troca dos bens patrimoniais da associação somente poderá ser decidida por aprovação da maioria absoluta da Assembleia Geral extraordinária, convocada especificamente para tal fim, na forma prevista pelo regimento interno.

Artigo 32[editar]

A associação poderá ser extinta por deliberação dos associados, em qualquer tempo, desde que seja convocada uma Assembleia Geral extraordinária para tal fim, na forma prevista pelo regimento interno, a qual deverá observar as regras previstas no parágrafo 1º do artigo 15º do presente estatuto.

Parágrafo Único[editar]

A associação poderá ainda ser extinta pelas demais formas previstas em lei.

Artigo 33[editar]

Em caso de dissolução da entidade, o patrimônio líquido será transferido a outra pessoa jurídica qualificada como Organização da Sociedade Civil de Interesse Público, preferencialmente com o mesmo objetivo social.

Artigo 34[editar]

Na hipótese de obtenção e posterior perda da qualificação como Organização da Sociedade Civil de Interesse Público, o acervo patrimonial disponível, adquirido com recursos públicos durante o período em que perdurou a qualificação, será transferido a outra pessoa jurídica qualificada nos mesmos termos.

Title 5: Fiscal year[editar]

Article 35[editar]

The fiscal year will last one year and will begin in January 1st and finish in December 31st in every year.

Article 36[editar]

At the end of each fiscal year, the Board of Directors shall publish a balance sheet, a statement of activities and a statement of changes in financial positions, based on the association's account data.

Capítulo V: Do Exercício Social[editar]

Artigo 35[editar]

O exercício social terá a duração de um ano, iniciando-se em 1º de janeiro e terminando em 31 de dezembro de cada ano.

Artigo 36[editar]

Ao fim de cada exercício social, o Conselho Diretor elaborará, com base na escrituração contábil da associação, um balanço patrimonial e a demonstração do resultado do exercício e uma demonstração das origens e aplicações de recursos.

The court of judicial district of São Paulo is elected for any lawsuit based on this bye-law.

Capítulo VI: Disposições Gerais[editar]

Artigo 37[editar]

Os casos omissos serão resolvidos pelo Conselho Diretor e referendados pela Assembleia Geral.

Artigo 38[editar]

Fica eleito o Foro da Comarca de São Paulo para qualquer ação fundada neste estatuto.
